Buy Rating for MBH Corporation plc at $10 Price Target

Litchfield Hills Research initiated coverage of MBH Corporation PLC with a Buy rating and a $10.00 ( 7.00) price target.

MBH is a holding company actively building a portfolio of profitable, earnings accretive, debt-free small to medium enterprises (SME) that are expected to have a higher-than-normal growth profile as part of a larger organization. The companys operating model leaves management of the acquired companies to operate autonomously and fully accountable to develop and grow their businesses. As part of a larger organization, the acquired companies and in turn, MBH get the benefits of both worlds.

Multiple paths to growth.

In addition to organic, and accretive growth through acquisitions, those companies, as part of a larger organization, can compete more successfully for larger orders or higher volumes. As MBH acquisitions are industry agnostic, there is synergistic growth opportunity for sales between acquired companies.

Portfolio of businesses that should sort out well post COVID.

The company operates in eight verticals, which have largely been negatively impacted by COVID restrictions and should sort out nicely: Construction Services, Education, Engineering, Food & Beverage, Health, Leisure, Property and Transport.

Pipeline of acquisition opportunities.

Through its relationship with M&A specialist Unity Group, it has access to a pipeline of SME acquisition opportunities. Since 2018, MBH has completed 26 acquisitions.

Attractive valuation.

While our price target is significantly above where the stock has traded, it is based on what we believe is a conservative view on the discounted value of all future earnings even with the assumption of a large increase in diluted shares as it continues to grow through acquisition. Our target is also supported by the significant discount at which the shares trade relative to peers.


The shares are listed on the U.S. OTC exchange under the ticker MBHCF and on the Frankfurt exchange under the ticker M8H.GR.

London, 5th May   2021, MBH Corporation plc (MBH), a diversified investment holding company, completes its fourth acquisition of the year with Stoke-On-Trent based Intercity Taxis joining the Group to take the portfolio to 26 companies in a continuation of a highly active acquisition drive.

MBH Corporation plc today announces its latest acquisition of Intercity Taxis which becomes the fourth company in its transport vertical. Intercity Taxis is a tactical acquisition for the Group and will reside under Take Me (formerly ADT Taxis) within the Group’s transport vertical.

Intercity Taxis’ has a 40 year history and averages over 150 drivers to a fleet of 120 taxis. The company’s largest account is Staffordshire County Council and numerous other local authorities use the company to provide school run services.

Despite its long history, Intercity Taxis has kept pace with the latest innovations and recently embraced the iCabbi system to provide customers the flexibility to book a taxi in a number of different ways quickly through an app, web booker, IVR (interactive voice response) and call handlers.

Intercity Taxis’ generated GBP 2.1m in revenue for the year 31 May 2020 with a normalised EBIT of GBP0.5m.

The total consideration for the acquisition of Intercity is approximately GBP 3-4m (pending audit) which will be settled mostly by way of MBH listed bond with the following terms:

●       5-year maturity with principal payable at maturity; and

●       5% coupon rate per annum payable semi-annually


Bond Programme and Number of Shares on Issue

After this acquisition, MBH would have utilised approximately EUR37m of its bond programme leaving a balance of EUR13m to be utilised if required.

The number of shares issued as at the date of this release is 72m.

MBH Corporation PLC continued its ambitious growth plans throughout 2020, opening in new international markets and expanding into multiple new industries. Although individual companies were hampered by the impact of Covid-19, MBH was still able to grow its revenue and is in a position to offer a dividend to its shareholders.

London, 30 April 2021  - The Directors of MBH Corporation PLC ("MBH"), a diversified investment holding company, are pleased to release the annual report for the year ended 31 December 2020 following a highly challenging year for the business community as a whole. Amid a global pandemic, MBH achieved a sales growth of 19% to GBP60.4 million (2019: GBP50.8million) and a net profit after tax of GBP1.4 million - (compared to the previous year 2019: GBP3.6 million). The financial figures include the results of 8 companies for the full year and proportionately 12 companies acquired during the financial year ended 31 December 2020.

Continued commitment to dividend payment
In line with its stated commitment of returning profits to shareholders, the MBH Board is proposing a repeat of the 2019 dividend of 0.005 Euro cents. This represents a dividend yield of approximately 2%. Shareholders will be given the option of receiving the dividend in cash or in additional shares. Further details around distribution will be announced at the AGM.

All Principals in the Group have already indicated their preference for additional shares demonstrating their belief and commitment to the Group.

Solid financial position
The balance sheet of the Group remains strong with a net asset position of GBP59.8 million. Cash and cash equivalents amounted to GBP5.8 million as of 31 December 2020 and the debt to equity ratio slightly below 1. The total number of shares outstanding amounted to 70.5m at the end of 2020, up from 39.2m at the end of 2019. The new shares were mainly issued as consideration for acquisitions and contingent consideration payments.

Continuing growth and diversification
In 2020 MBH continued its growth and diversification strategy acquiring 12 profitable and well-established companies. Adding 4 new industry verticals and expanding to 3 new countries, the Construction Services segment remains the largest vertical within the MBH portfolio and was a sector that was hard hit by the pandemic. As a result, the construction vertical EBIT was significantly down on the previous year.

All other verticals recorded revenue growth in 2020.

Whilst MBH does not offer guidance to the market, it does intend to continue its growth through acquisitions at a similar pace to the previous two years in order to continue adding new companies in order to strengthen the group.

London, 30. April 2021 - Der Vorstand der MBH Corporation PLC ("MBH"), eine diversifizierte Beteiligungsgesellschaft, präsentiert den Geschäftsbericht für das am 31. Dezember 2020 abgeschlossene Geschäftsjahr, das für die gesamte Wirtschaft sehr herausfordernd verlief. MBH steigerte seinen Umsatz trotz globaler Pandemie um 19 % auf 60,4 Mio. GBP (2019: 50,8 Mio. GBP) und erzielte einen Jahresüberschuss von 1,4 Mio. GBP (2019: 3,6 Mio. GBP). In den Finanzkennzahlen sind die Geschäftsergebnisse des gesamtes Geschäftsjahres zum 31. Dezember 2020 von 8 Unternehmen und anteilig von 12 während des Geschäftsjahres erworbenen Unternehmen enthalten.

Festhalten an der Dividendenzahlung
Der Vorstand der MBH schlägt im Einklang mit seinem ausdrücklichen Bestreben, Gewinne an die Aktionäre auszuschütten, erneut eine Dividende für 2019 in Höhe von 0,005 Euro vor. Dies entspricht einer Dividendenrendite von rund 2 %. Die Aktionäre können zwischen einer Bardividende und einer Aktiendividende wählen. Weitere Details zur Ausschüttung werden auf der Hauptversammlung bekannt gegeben.

Alle Hauptaktionäre der Gruppe haben bereits ihre Präferenz für eine Aktiendividende bekundet und damit ihr Vertrauen und ihre Überzeugung in die Gruppe zum Ausdruck gebracht.

Solide Finanzposition
Die Bilanz des Konzerns bleibt mit einer Nettovermögensposition von GBP 59,8 stark. Die liquiden Mittel beliefen sich zum 31. Dezember 2020 auf GBP 5,8 Mio. und der Verschuldungsgrad lag etwas unter 1. Die Gesamtzahl der ausstehenden Aktien belief sich Ende 2020 auf 70,5 Mio., gegenüber 39,2 Mio. zum Jahresende 2019. Die neuen Aktien wurden hauptsächlich ausgegeben, um Akquisitionen und bedingte Gegenleistungen zu finanzieren.

Kontinuierliches Wachstum und Diversifizierung
MBH setzte 2020 seine Wachstums- und Diversifizierungsstrategie fort und erwarb 12 profitable und bereits etablierte Unternehmen. Dabei erweiterte die Gruppe seine Geschäftstätigkeit in vier weiteren Branchen und expandierte in drei neue Länder. Baudienstleistungen sind nach wie vor der größte Geschäftsbereich innerhalb des MBH-Portfolios, waren aber von der Pandemie stark betroffen. Deshalb lag das Ergebnis vor Zinsen und Steuern (EBIT) dieses Geschäftsbereichs deutlich unter dem des Vorjahres.

Alle anderen Geschäftsbereiche verzeichneten 2020 ein Umsatzwachstum.

MBH achieves revenue growth in financial year 2020 and proposes stable dividend payment despite effects of Covid-19 pandemic

London, 30 April 2021  - Amid the global pandemic, MBH Corporation PLC ("MBH") has achieved a sales growth of 19% to GBP60.4 million in the financial year 2020 (2019: GBP50.8 million) and an operating profit (EBIT) of GBP1.8 million compared (2019: GBP4.0 million). The net profit after tax fell by 61 % to GBP1.4 million (2019: GBP3.6 million). The financial figures include the results of 8 companies for the full year and proportionately 12 companies acquired during the financial year ended 31 December 2020.

The MBH Board of Directors will propose a stable dividend of 0.005 cents (2019: 0.005 cents) to the Annual General Meeting. Shareholders will be given the option of receiving the dividend in cash or in additional shares .
